Clarke, Whittaker & Reid
Terms of Engagement
Last updated: 4 September 2026
These terms of engagement apply to every instruction accepted by Clarke, Whittaker & Reid ("the firm") unless expressly varied in writing by a partner of the firm. They supplement, and should be read together with, any letter of engagement issued for a specific matter.
Scope of instructions
Our advice relates only to the specific matter and facts on which we are instructed and only to Jamaican law, unless we expressly agree in writing to advise on another jurisdiction. We are not required to review or advise on matters outside the scope of an instruction, even where a related issue comes to our attention in the course of the matter.
Fees and billing
Fees are agreed in writing before work begins, either as a fixed fee, an hourly rate, or another basis set out in the relevant letter of engagement. Unless otherwise agreed, invoices are issued monthly and are payable within thirty days. Disbursements, filing fees, and other third-party costs are billed in addition to professional fees.
Client responsibilities
Clients agree to provide instructions and information promptly and accurately, and to notify the firm of any change in circumstances relevant to the matter. Delay or inaccuracy in instructions may affect the timeline, cost, or outcome of a matter, and the firm is not responsible for consequences arising from incomplete or late information.
Confidentiality
We treat all client information as confidential in accordance with our professional obligations and our Privacy Policy. We will not disclose client information to third parties except with consent, where required by law, or as necessary to carry out instructions.
Conflicts of interest
Before accepting an instruction we carry out a conflicts check. Where a conflict, or the risk of one, is identified, we will decline the instruction or, where appropriate and permitted, seek informed consent from the affected parties before proceeding.
Limitation of liability
To the extent permitted by law, our liability for any claim arising from an instruction is limited to the fees paid by the client for that instruction, save in respect of liability that cannot lawfully be excluded or limited.
Termination
Either party may terminate an instruction on reasonable written notice. On termination, the client remains liable for fees and disbursements incurred up to the date of termination, and the firm will take reasonable steps to protect the client's position in respect of any matter with an imminent deadline.
Governing law
These terms, and any instruction accepted under them, are governed by the laws of Jamaica, and the courts of Jamaica have exclusive jurisdiction over any dispute arising from them.
